AYA TEA DISTRIBUTOR AGREEMENT

1. Appointment

Aya Tea grants the Distributor the non-exclusive right to purchase and resell Aya Tea/ Lit  products.

2. Minimum Purchase Requirement

• Distributor must place a minimum wholesale order of $500 to begin.

• All orders must be prepaid before shipment.

• Prices are subject to change at the Company’s discretion.

3. Wholesale Pricing & Resale

• Distributor agrees to purchase products at wholesale pricing set by AyaTea.

• Distributor may resell products at suggested retail price (SRP) or higher.

• Undercutting pricing below SRP without approval may result in termination.

4. Payment Terms

• Payments must be made in full via approved methods (Zelle, Cash App, card, etc.).

• No products will be shipped until payment is received.

5. Shipping & Inventory

• Distributor is responsible for their own inventory once received.

• AyaTea is not responsible for lost, stolen, or damaged items after delivery confirmation.

6. Branding & Marketing

• Distributor agrees to represent AyaTea in a professional and positive manner.

• Use of AyaTea logos, images, and branding must be approved or provided by the Company.

• Distributor may not repackage or relabel products.

7. Sales Channels

• Distributor may sell in-person or online.

• Selling on unauthorized platforms (Amazon, eBay, etc.) without permission is prohibited.

8. Non-Compete Clause

• Distributor agrees not to sell or promote competing detox teas or similar products while actively distributing AyaTea.

9. Refunds & Returns

• All wholesale orders are final sale.

• No refunds or exchanges unless products arrive damaged (must report within 48 hours).

10. Termination

AyaTea reserves the right to terminate this agreement if:

• Distributor violates pricing rules

• Misrepresents the brand

• Becomes inactive or unprofessional

11. Independent Contractor

Distributor is an independent contractor and not an employee of AyaTea.

12. Liability

AyaTea is not liable for how products are marketed or sold by the Distributor.

13. Agreement Acceptance

By reading and signing below, both parties agree to the terms outlined above. A DocuSign-style digital signature document for your Aya Tea distributor agreement will be emailed once approved!

 

Refunds & Returns

• All wholesale orders are final sale.

• No refunds or exchanges unless products arrive damaged (must report within 48 hours).
